Terms & Conditions of
Service & Equipment Rental

These terms govern the technical procurement services, equipment rental agreements, and corporate interactions with Michelkon Services Limited.

1 Acceptance of Terms

By requesting a quote, issuing a purchase order (PO), or executing an equipment lease agreement with Michelkon Services Limited ("the Company"), you ("the Client") agree to be bound by these Terms and Conditions. These terms apply to all technical material procurement, line pipe supplies, valve sales, and equipment rental contracts.

2 Technical Procurement & OEM Compliance

All materials supplied (including pipes, fittings, flanges, valves, and instrumentation) are sourced from OEM-certified manufacturers adhering to API, ASTM, and ASME standards. Material Test Certificates (3.1 / 3.2 MTC) are provided upon delivery. Any technical deviations requested by the Client must be explicitly documented in writing prior to PO issuance.

3 Equipment Rental Terms & Mobilization

  • Mobilization & Demobilization: Rental periods commence on the date equipment leaves the Michelkon staging hub and conclude upon physical return to our yard.
  • Pre-Lease Inspection: Joint pre-mobilization inspections are conducted prior to site dispatch. The Client assumes operational custody upon handover.
  • Site Readiness: The Client is responsible for ensuring suitable ground conditions, safe access roads, and certified crane offloading at project sites.

4 HSE Compliance & Operator Safety

Equipment operated on site must strictly comply with Nigerian Oil & Gas Industry Content Development (NOGICD) and DPR/NUPRC safety guidelines. Where Michelkon provides certified operators, the Client must ensure safe working environments, adequate PPE, and emergency response coverage.

5 Invoicing, Payment & Taxes

Invoices are issued in accordance with agreed commercial proposals. Payment terms are net 30 days from invoice date unless specified otherwise. All prices are subject to statutory Value Added Tax (VAT) and applicable withholding taxes under Nigerian tax regulations.

6 Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with service agreements shall be resolved through good-faith negotiation, failing which matters shall be referred to arbitration in Lagos, Nigeria.
